Despite being ridiculed by those economists on here such as astute for predicting this likely development the actual critical aspect will be not the requirement to re-fund an empty company but deal with the veto.
I suspect ( again having been ridiculed by the economic experts) that the wasps takeover is not to be completed until 30 days after the Higgs announcement. So they can veto the club buying the shares.
I don't believe Wasp can veto a deal by CCFC ltd (SBS&L), but they may have a cancellation option if they are unable to get all the shares.
So if sisu somehow manage to fulfil the requirements to buy Higgs shares, then the question is if Wasp will sell on their shares to sisu (for a profit/compensation) or simply walk away.
Another interesting issue is how much will it cost sisu to buy the shares through ccfc ltd and who will benefit the most. The biggest creditors are Otium and ACL (the lease). Buying the shares is buying half of ACL - and may open an option to buy the remaining half. So any money going to ACL could actually be money going back to sisu (if Wasp agree to sell). In addition any money going to Otium is money going to sisu.

I would absolutely love the "club" to own the stadium . Just not some Cayman based hedge fund who will probably still charge rent and lots of lovely interest on imaginary money .

The case is against the Council, not ACL. Although ACL are linked by virtue of having received the loan, I don't see that it distresses them particularly.
That's what I am saying, so why not drop it?
Higgs can turn down any offer if they want, the option just says they (CCFC Ltd*) have a chance to make an offer.
*There is talk of beneficial ownership transferring the option, I don't think this will work, but I'm out of my depth with that.
