I guess rather than cash he is looking at a way SISU retain some equity over a period of time but without control of how that equity builds or loses value before being cashed in.
The problem I sense is Hoffman's consortium do not have the financial means to give CCFC anything much better than what we have with SISU. Both will continue to tread water with the difference being the evil ones would all be gone. So you give SISU another 1m when we reach the Championship? How long will that take? What guarantee could there possible be on such an offer? It's all a bit absurd tbh...and this from a banker.
Just listen to what Hoffman is trying to sell? One look at OSB58's summary earlier demonstrates just how complicated the 'club' ownership is.

Throws away future income in terms of transfers (shades of Robinson, and the Newmarket scheme there) and a never-never promise of cash in eleventy billion years.
So, given the offer is for nothing, others would be happy to come forward with an offer for nothing... if that is what it would take to buy the club.

No way anyone is giving SISU money like £10M up front.
Three things new ownership with local connections does is ...
a) bring local sponsorship in (it has collapsed under SISU)
b) possibility bring in other investors (no one will work with SISU)
c) a period of stability during which the club can secure its home and training facilities
Hopefully it could unite the fans as well as we seem to be getting more divided and that is helping Sisu keep control
These are top business people led by a guy that the government appointed to get HSBC back on its feet - The offer in these circumstances is generous and well thought out and not really a risk on behalf of the consortium but would be a risk if anyone else possibly tried to copy as this consortium seem to have the in depth knowledge and heart of the fans. The consortium will have no issue with financing this deal going forward as the 20,000 + fans attending the Ricoh for home games that will back the new venture will shower the club with wealth that will enable the club to climb as high as they wish

The issue is the owners and what they feel they have already invested and the recoup whatever the figure actually is - The return will never be able to be recouped and the latest offer cannot really be increased so possible a stalemate situation and the possible demise of the club as the fans will not continue to attend

But Sisu were still in charge , had we returned under different owners , Imo, things would have been different.We would get 20k+ once maybe twice maximum look at when we returned to the Ricoh.

If they think they can get things moving and will be able to give Joy a total with add-ons of around 10 million... then, as someone has said, they should go to a bank or financier with a business plan -- and 5 million own capital. Then ask for 5 from the bank and give Joy the 10 cash on the table.
If they haven't got the confidence, finance or a plausible business plan, then Joy will tell them to get lost. It's not Joy's job to finance them. Avro are still waiting to see what happens to their money. If they got their investment plus interest back things would look different.

You do realise that not that long ago Chinese paid £30M for a championship club, with a championship squad, their own stadium, their own training ground, their own cat2 academy, pretty sure they were debt free and in profit also.
Based on that what makes you think that a failing league 2 club with no ground, rents space for their academy, is in debt, is barely breaking even and is basically a shell of a company run by an idiot is worth a third of that?

This offer (unless GH comes back again) is probably as good as it's going to get for Joy. She's a hedge fund boss. She's used to taking gambles with other peoples. How is this any different? Except she doesn't have to even get involved with managing this.
